Michael Terms of Service
Effective date: September 15, 2026. Last updated: October 4, 2026.
These Terms of Service (“Terms”) govern your access to and use of Michael, a product operated by T.A. Tech Inc. (“T.A. Tech,” “we,” “us,” or “our”).
By creating an account, accessing Michael, or using Michael's services, you agree to these Terms and any policies or additional terms incorporated into them.
1. About Michael
Michael is an AI-powered personal assistant beginning with retail and shopping. Michael is designed to help users search for, discover, compare, and evaluate products based on their requests, preferences, and other information they choose to provide.
Tell Michael what you want. When needed, Michael may ask follow-up questions to better understand your needs and preferences before searching and evaluating available options.
Our vision is to expand Michael beyond retail into additional areas such as restaurants, travel, hotels, parking, and other areas of hospitality and everyday life. Features described as planned, future, or upcoming are not guaranteed to be available at any particular time.
2. Eligibility
You must be legally permitted to use Michael and enter into these Terms. Certain features, programs, or services may have additional eligibility requirements based on factors such as age, location, or applicable law. Those requirements will be disclosed when applicable.
3. Your Michael account
Certain Michael features require you to create an account. You are responsible for:
- Providing accurate account information
- Maintaining the confidentiality and security of your login credentials
- Keeping your account information reasonably current
- Activity conducted through your account
You may not impersonate another person, create an account for fraudulent purposes, or knowingly allow another person to use your account in violation of these Terms.
4. Using Michael
Michael may be used for lawful purposes and in accordance with these Terms. You may not use Michael to:
- Violate applicable law
- Commit or facilitate fraud
- Misrepresent your identity
- Create fraudulent accounts, invitations, or transactions
- Manipulate Michael's network or Revenue Sharing Program
- Artificially generate affiliate commissions or earnings
- Attempt to obtain benefits to which you are not entitled

- Access systems or information without authorization

Michael does not use Google APIs to generate text, images, or video. Using Michael or any connected Google API to create or distribute non-consensual intimate imagery or synthetic explicit content is prohibited.
5. How Michael makes recommendations
Michael uses artificial intelligence and available product information to help identify products that may fit what you are looking for. Michael may consider your request, stated preferences, previous interactions, product characteristics, price, available reviews and ratings, retailer information, availability, shipping or delivery information, and other information relevant to your request.
Michael's goal is to help identify options that may be appropriate for you. Selections are not guaranteed. You remain responsible for deciding whether a product is appropriate before purchasing it.
6. AI-generated information
Michael uses artificial intelligence and automated systems. AI-generated responses may occasionally contain errors, incomplete information, or information that is no longer current. You should review important product details, prices, specifications, retailer terms, and other information before completing a purchase.
Michael should not be treated as professional legal, medical, financial, or other regulated professional advice.
7. Product information, prices, and availability
Product information may originate from retailers, affiliate networks, manufacturers, and other sources. Prices, inventory, promotions, shipping, delivery estimates, specifications, and other information can change without notice. Information displayed by the retailer at the time of purchase generally controls the final transaction.
Michael does not guarantee that every product, retailer, price, or promotion available elsewhere will be available through Michael.
8. Purchases and retailers
Unless Michael expressly states otherwise, Michael helps users discover products and connects them with third-party retailers. The actual purchase is generally completed with the retailer. The retailer may be responsible for payment processing, order acceptance, product fulfillment, shipping, delivery, returns, exchanges, refunds, product warranties, and transaction-related customer service.
The retailer's applicable terms and policies govern your transaction with that retailer.
9. Affiliate relationships
Michael may participate in affiliate relationships with retailers, merchants, and affiliate networks. When Michael connects a user with a participating retailer and the user completes a qualifying transaction, Michael may receive an affiliate commission. This does not mean that the user pays Michael an additional commission on the purchase.
10. Building your network
Eligible Michael users may invite friends, family, colleagues, followers, and others to use Michael. Invitation tools may include personal invitation QR codes, personal invitation links, contact-based invitations, and manual invitations.
When another person joins Michael through an eligible invitation, that person's account may become associated with the inviting user's network. Once a person has successfully joined a user's network, the person generally does not need to scan the same QR code or use the same invitation link every time they use Michael.
11. Revenue Sharing Program
Eligible users may participate in Michael's Revenue Sharing Program. When a member of a user's network completes a qualifying transaction through Michael, Michael may receive an affiliate commission. An eligible user may earn a percentage of qualifying affiliate commissions generated through their network.
Revenue sharing is calculated from the qualifying affiliate commission, not from the total amount the network member spends. Percentages may vary based on the applicable program, promotion, eligibility criteria, or performance level. Certain promotional programs may offer eligible users up to 50% of qualifying affiliate commissions generated through their networks.
12. Pending and confirmed earnings
Affiliate commissions are not necessarily confirmed immediately after a purchase. A transaction may initially generate a pending commission while the retailer or affiliate network verifies the transaction. Pending earnings are not available for use.
Transactions may become ineligible because of returns, refunds, cancellations, reversed transactions, fraud, duplicate transactions, affiliate-network rejection, failure to satisfy program requirements, or other circumstances described in the program rules.
Only eligible revenue-sharing amounts that have been confirmed are credited to the user's Michael Earnings Balance.
13. Michael Earnings and stored purchasing value
Once eligible revenue-sharing earnings are confirmed, they are credited to the user's Michael Earnings Balance. Michael Earnings represent stored purchasing value earned through Michael's Revenue Sharing Program. They are intended to be used for purchases. They are not a bank deposit, checking account, savings account, or cash-withdrawal account.
Using Michael Earnings
Available Michael Earnings may be used toward eligible purchases through Michael's participating affiliate network. When they are used, the applicable purchasing value is deducted from the available balance.
No cash withdrawal
Michael Earnings cannot be withdrawn as cash, including ATM withdrawals, cash advances, cash redemption, or other methods intended to convert them directly into cash.
No transfers
Michael Earnings are non-transferable. They cannot be transferred to a bank account, another Michael user, another person, a debit or credit card, a payment application, a digital wallet as transferable cash value, or another financial account. They may not be sold, assigned, pledged, or exchanged for cash. The ability to spend Michael Earnings does not create a right to receive their equivalent value in cash.
No expiration
Confirmed Michael Earnings do not expire. Once qualifying earnings have been confirmed and credited, they remain available for eligible use by that account holder, subject to these Terms and the Revenue Sharing Program rules.
14. Future Michael payment card
Michael intends to introduce a reloadable payment card designed to expand where eligible Michael Earnings can be spent. The planned card is intended to operate through Visa or Mastercard. Availability and functionality will be subject to the eventual issuing financial institution, payment network, geographic availability, regulatory requirements, and card-program terms.
The card would expand where Michael Earnings can be spent. It would not convert them into a transferable or withdrawable cash balance, and it would not permit ATM withdrawal, cash advance, transfer to a bank account, another card, another person, a payment application, or direct cash redemption.
15. Personal nature of Michael Earnings
Michael Earnings are personal to the account holder who earned them. Except where applicable law requires otherwise, they may not be transferred, assigned, gifted, sold, pledged, inherited, or otherwise conveyed to another person. No person obtains a contractual right to another user's Michael Earnings solely because that person is an heir, beneficiary, executor, administrator, guardian, power of attorney, or other representative of the account holder.
16. Death, incapacity, or inability to use Michael Earnings
If an account holder dies, becomes permanently incapacitated, or otherwise becomes unable to personally access or use their Michael Earnings, those Earnings remain non-transferable. They may not be transferred to another person, beneficiary, estate, bank account, card, payment service, or other financial account.
To the extent permitted by applicable law, Michael Earnings that can no longer be personally used by the account holder will be forfeited and become the property of T.A. Tech Inc. If applicable law requires a different treatment of an unused balance, T.A. Tech Inc. will comply with those requirements.
17. Shopping for family and friends
Michael may allow users to create separate shopping information or profiles for people they shop for, including relationship, sizes, preferred brands, colors, styles, interests, product preferences, and important dates. You are responsible for ensuring that you have an appropriate basis to provide information about another person. Additional information is in the Privacy Policy.
18. Privacy
Our collection, use, and handling of personal information are described in the Michael Privacy Policy. Certain features, including Google sign-in and Google contacts, require the permissions described there.
19. Intellectual property
Michael, its software, interfaces, designs, content, branding, logos, and related intellectual property are owned by T.A. Tech Inc. or its licensors unless otherwise indicated. These Terms do not transfer ownership of Michael or its intellectual property to users.
The Michael name, branding, and official Michael M may not be copied, altered, or used in a manner that falsely suggests sponsorship, endorsement, or affiliation. Users may use authorized invitation materials for their intended purpose.
20. Invitation materials
Michael may provide each eligible user with a unique invitation QR code or other promotional materials. These may be downloaded and shared to invite others to Michael. Users may not modify an invitation to falsely attribute another person's network, manipulate tracking information, create misleading representations about Michael, use Michael branding to impersonate T.A. Tech Inc., falsely claim to be an employee or authorized representative, or use invitation materials for unlawful or fraudulent purposes.
21. Third-party services
Michael may interact with retailers, affiliate networks, payment providers, technology providers, and other third parties. Those services may be governed by their own terms and privacy policies. T.A. Tech Inc. does not control third-party services and is not responsible for their actions except to the extent required by applicable law.
22. Future features
We may introduce features involving additional shopping services, travel, restaurants, hotels, parking, hospitality, payments, account linking, automated purchasing, or other services. References to future or planned functionality describe current intentions and do not guarantee that a feature will launch or become available by a particular date. Additional terms may apply when new features are introduced.
23. Changes to Michael
We may add, modify, suspend, or discontinue features, integrations, or services as Michael evolves. Where required by applicable law, users will receive appropriate notice of material changes.
24. Suspension and termination
We may restrict, suspend, or terminate access to Michael or participation in particular programs when reasonably necessary, including in connection with fraud, abuse, security threats, manipulation of network attribution, artificial generation of commissions, violation of these Terms or the Revenue Sharing Program, violation of applicable law, or conduct that threatens Michael, its users, retailers, or partners.
Confirmed Michael Earnings will be treated in accordance with these Terms and applicable law.
25. Disclaimer of warranties
To the maximum extent permitted by applicable law, Michael is provided on an “as available” basis. We do not guarantee that Michael will always be available, always operate without error, identify every available product, display every retailer, always have current pricing or availability information, or always provide a selection that satisfies every expectation.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
26. Limitation of liability
To the maximum extent permitted by applicable law, T.A. Tech Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of Michael. Nothing in these Terms limits liability that cannot legally be limited.
27. Changes to these Terms
We may update these Terms as Michael, its programs, and applicable requirements evolve. The Last updated date identifies the most recent version. When required by law, we will provide additional notice or obtain consent before material changes become effective.
28. Governing law
These Terms will be governed by the laws of Delaware, subject to applicable consumer protections and conflict-of-law requirements.
